FIRST: PURPOSE OF THE AGREEMENT

THE FREELANCER agrees to provide professional services to perform:  . THE CLIENT agrees to pay the agreed economic consideration for said services.

SECOND: VALUE AND PAYMENT METHOD

The total value of this agreement is  . This amount shall be paid by THE CLIENT to THE FREELANCER as follows: 50% upon commencement of work and 50% upon delivery and satisfactory completion of the final product.

THIRD: TERM OF EXECUTION

The term for the execution of services shall be from   until  . Any modification to the term must be agreed upon in writing by both parties.

FOURTH: OBLIGATIONS OF THE FREELANCER

Deliver the services by the agreed date, maintain confidentiality regarding THE CLIENT's information, and invoice for services in accordance with applicable regulations.

FIFTH: OBLIGATIONS OF THE CLIENT

Provide the necessary information for the execution of the service, make payments on the agreed dates, and review and approve deliverables within no more than 5 business days.

SIXTH: INTELLECTUAL PROPERTY

Upon full payment, all intellectual property rights over the work performed shall be transferred to THE CLIENT.

SEVENTH: CONFIDENTIALITY

Both parties agree to maintain the confidentiality of all information exchanged during the term of this agreement.

EIGHTH: TERMINATION

Either party may terminate this agreement with 15 calendar days' prior notice. In the event of breach, the affected party may terminate this agreement immediately.
